DIVIDEND POLICY

PLDT's current dividend policy is to declare and pay dividends taking into consideration the interests of our shareholders as well as our working capital, capital expenditures and debt servicing requirements. We also take into consideration our ability to meet loan covenant requirements in the declaration and payment of dividends. The retention of earnings is necessary to meet the funding requirement of our business expansion and development programs. Unappropriated retained earnings of PLDT include undistributed earnings, representing accumulated equity in the net earnings of our subsidiaries, which are not available for distribution as dividends until received in the form of dividends from such subsidiaries.

Dividends are generally paid in Philippine pesos. In the case of shareholders residing outside the Philippines, PLDT's tranfer agent in Manila, Philippines, which acts as the dividend-disbursing agent, converts the Philippine peso dividends into U.S dollars at the prevailing exchange rate and remits the dollar dividends abroad, net of applicable withholding tax.

On 5 August 2014, the PLDT Board of Directors approved the amendment of our dividend policy, increasing the dividend payout rate to 75% from 70% of our Core earnings per share as regular dividends. In the event that no opportunities arise, we may consider the option of returning additional cash to our shareholders in the form of special dividends of up to the balance of our core earnings or to undertake share buybacks.

On 2 August 2016, the PLDT Board of Directors approved the amendment of our dividend policy, reducing the regular dividend payout rate to 60% from 75% of our Core Earnings Per Share (EPS) as regular dividends. The change in the dividend policy takes into account: 1.) the elevated levels of capital expenditures to build a robust, superior network to support the continued growth of data traffic; 2.) plans to invest in new adjacent businesses that will complement the current business and provide future sources of profits and dividends; and 3.) management of our cash and gearing levels. 

We may consider the option of returning additional cash to our shareholders in the form of special dividends or share buybacks in the event that no investment opportunities arise. 

Philippine corporate regulations prescribe that we can only pay out dividends or make capital contributions up to the amount of our unrestricted retained earnings.
